Video Project Terms & Conditions
Assumptions
- All created resources, including logos, branding guidelines and other content necessary to create this promotional video is provided to The Video Box by the Project Client (or an assigned nominee)
- Open dialogue will be achieved between The Video Box and the Project Client (or an assigned nominee)
- The Video Box will be free to carry out tasks as necessary to complete the assigned duties, as long as it falls within the project guidelines outlined in this proposal document
Agreement
This agreement between The Video Box and the Project Client, and the agreed fee quoted by The Video Box are for the scope (and accompanying Terms & Conditions) outlined in this proposal document. Any subsequent changes, whether made orally or in writing, may be subject to variation.
Services Rendered
It is agreed that The Video Box will provide the outlined in-scope services (which will be determined during the first Pre-Production session. Anything out of scope is not included, and may be subjected to variation.
Out of Scope
No Video Footage will be supplied to the Project Client. No additional Social Media videos will be provided (this is subject to variation). Any additional marketing campaigns, including content marketing, email marketing or other social media marketing will be quoted on separately.
Copyright
All of the photographs and video content created by The Video Box (both moving and still) and their copyright are the sole and exclusive property of The Video Box, until the invoice has been finalised. Once the media has been paid for by the Project Client, all media content (except for the deemed out of scope content) belongs to the Project Client and can be used as deemed necessary on all communication channels. No byline/credit is necessary.
Quotations
Quotations are calculated by estimating how long it will take to provide the Services under typical circumstances and are based on an hourly rate. One round of Project Client changes and/or revisions is included in each Quotation. If the Project Client instructs The Video Box that significant changes and/or revisions to the scope of the Services described in a quotation are required then the Project Client will be required to approve a variation to the contract that will be prepared by The Video Box including details of any changes to scope, time and cost.
Communication
Any estimate of the date by which The Video Box will complete any part of the Services is contingent upon the Project Client providing complete instructions to The Video Box and fully cooperating with The Video Box until the company has ceased providing Services to the Project Client. The Project Client must appoint a person who has complete authority to provide instructions to The Video Box and respond to requests for feedback until The Video Box has ceased providing Services to the Project Client.
Payment
The Project Client will pay to The Video Box the agreed fee in the following matter: A deposit of the Agreed Fee will be payable prior to the commencement of the Services and the balance will be payable before the delivery of any final copies of the finished project. The Video Box will not commence any Production activities until the Deposit has been paid and no files will be delivered until the balance has been paid.
Variations (additional quotations may apply)
The Video Box will provide the Project Client with one “draft copy” of an initial edited video file. The Project Client must notify The Video Box of all proposed changes via the digital review panel. Once the proposed changes have been made, The Video Box will provide the Project Client with a “final draft copy” which is to be used solely for the purpose of verifying that the proposed changes have been correctly implemented. The Video Box will then upload a final draft copy of the product to verify that the changes hav e been made successfully. No new changes may be requested at this point. The Project Client must notify The Video Box of any errors in the final draft copy in accordance to the milestones. The Project Client acknowledges that some changes may not be possible.
Cancellations
If the Project Client has engaged The Video Box to provide Production Services on a specified date, the Project Client may notify The Video Box in writing (during normal business hours) that the Project Client does not require the Services to be provided on that date (“the cancellation”). If the cancellation is made more than 48 hours prior to the day on which The Video Box has been engaged to provide the Services, the Project Client will not have their deposit returned. If the cancellation is made between 48 and 24 hours prior to the day on which The Video Box has been engaged to provide the Services, the Project Client must pay 50% of the Agreed Fee. If the cancellation is made within 24 hours of the time at which The Video Box has been engaged to provide the Services, the Project Client must pay the Agreed Fee in full. In the unlikely case of The Video Box needing to cancel the project, the Video Box will return all monies paid by the Project Client.
Raw Files
The Raw Footage, video files, audio files and edited video files including all copyright remain the property of The Video Box until full payment is made for the Services. Where Services remain unpaid or if a final agreed payment is not made, The Vide o Box reserves the right to withhold all recordings and finished works. Generally, Raw Files are not passed onto clients; all files delivered to clients will feature colour correction, audio mix and will be delivered in a format that clients can comfortably use. The Project Client may purchase Raw Footage in viewable format for an additional fee. If the Project Client requires any Raw Footage to be provided by way of a separate hard disk, then the Project Client must pay The Video Box an additional fee.
